  1. Acceptance of Terms
Welcome to Lytz, a platform operated by Lytz, Inc. ("Lytz," "we," "us," or "our"). By accessing, using, or registering for the Lytz platform ("Platform"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the Platform.
  1. Services Provided
Lytz provides technology services to businesses of all types, including but not limited to automotive dealerships, retailers, and service providers. Services include:
Secure QR-based payment processing;
Merchant account creation and onboarding;
Recurring payment management;
Online and in-store payment facilitation; and
Analytics and reporting.
Lytz only provides payment services, whether for a single transaction or recurring payments. Refunds are handled through the Platform when initiated by the business. Chargebacks are handled automatically, with any applicable fees charged to the customer. Funds from chargeback transactions will be recovered directly from the business.
No business using the Platform has access to any customer data. Businesses may only request or process payments through the Platform.
Lytz is a technology platform and not a bank, payment processor, or money transmitter. Payments are processed through integrated third-party service providers, including TransPecos Bank.
  1. Eligibility and Account Setup
To use Lytz, you must be a legally established and licensed business operating in the United States. By registering for Lytz, you represent that all information provided is accurate, and you authorize Lytz to verify your business identity, financial standing, and regulatory compliance.Businesses must have a U.S. bank account to use the Platform and must provide a valid Employer Identification Number (EIN) during onboarding.You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  1. Fees and Payment Terms
Lytz charges fees on a per-transaction basis. Fees will be outlined in a separate pricing schedule. Lytz reserves the right to update fees with at least thirty (30) days' notice.Lytz may deduct fees directly from processed transactions. Fees are collected immediately upon transaction completion. Pricing changes will be communicated in advance, and continued use of the platform after notice constitutes acceptance.Lytz’s fee structure is fully transparent, and there is no recourse process for disputing fees.

  1. Platform Availability and Service Levels
Lytz will use commercially reasonable efforts to provide stable platform performance and work with third-party providers to restore service in the event of an outage. However, Lytz makes no guarantees regarding uptime, and the Platform is provided "as is" without warranties.If platform failures result in overcharging of fees, Lytz will reimburse the affected fees. However, if no transaction occurs due to a platform failure, no remedy or compensation will be offered. Businesses are encouraged to report bugs, and Lytz will make reasonable efforts to remedy them.
  1. Acceptable Use and Prohibited Activities
You may only use the Platform for lawful purposes directly related to your business operations. You may not:
Use Lytz for any fraudulent, deceptive, or illegal activity;
Attempt to access or disrupt Lytz systems outside of intended use;
Misrepresent your identity, transactions, or business practices; or
Violate applicable laws, including consumer protection, data privacy, and financial regulations.
Lytz reserves the right to remove any business from the Platform at its sole discretion if Lytz determines the business is misusing the Platform, violating these Terms, or posing legal, financial, or reputational risk.
  1. Data Ownership and Privacy
Lytz collects and retains business and customer data necessary to comply with Know Your Customer (KYC) and Know Your Business (KYB) regulations and applicable federal laws.
Lytz owns all data on the Platform, including transactional data, and reserves the right to analyze and monetize anonymized transaction data.
Once a business registers with Lytz, Lytz may publicly list that business as a customer and use anonymized transaction data for business insights and marketing purposes.
  1. Third-Party Services
Businesses sign up directly on the Platform with knowledge that TransPecos Bank serves as the integrated bank provider.Lytz relies on third-party service providers (e.g., payment processors, KYC/AML services). All third-party providers integrated with Lytz are SOC 2 compliant. In the event of a third-party service outage, Lytz will work diligently to identify and resolve the issue.By using the Platform, you agree to the terms of these third-party providers.
9. Redeemable Point & Purchases
9.1 Purchasing Points
Lytz may offer users the ability to purchase redeemable points ("Points") that can be used within the Lytz platform to access specific features, services, benefits, or to complete eligible purchases. Points are not legal tender, have no cash value, and may not be exchanged for currency outside of the Lytz platform.

9.2 Non-Refundable Nature
All purchases of Points are final and non-refundable, regardless of usage status, account activity, or changes to the platform. By purchasing Points, you acknowledge and agree that:
You are not entitled to a refund, reversal, or credit once the transaction is completed.
Points do not expire, but may be subject to platform-specific limitations or future policy changes.
Lytz is not liable for Points lost due to unauthorized account access or misuse.

9.3 Use of Points
Points may be used within the Lytz platform to:
Unlock platform features or premium tools.
Make purchases for goods or services, including those offered directly by Lytz or through integrated third-party partners.
Engage in enhanced transaction options or value-added services.
Participate in reward programs, promotions, or partner offerings (where available).
Lytz reserves the right to modify the value, scope, or availability of Points at any time, with or without notice. Any misuse of Points—including fraudulent acquisition, resale, or circumvention of intended use—may result in forfeiture of Points and potential suspension or termination of the user account.

  1. Legal & Compliance
Lytz complies with applicable U.S. laws and regulations, including payment processing, data privacy, and consumer protection laws. All payment processing is conducted through PCI-compliant partners.
Lytz serves only businesses with U.S. bank accounts.
  1. Liability and Disclaimers
Because Lytz operates a closed-loop ecosystem, customers must complete transactions directly through the Platform. If a customer disputes a charge, Lytz has no role in resolving the dispute — this is solely the responsibility of the business.
If a payment fails or is delayed, Lytz will work to identify the cause and process the payment as soon as possible.
Lytz’s proprietary QR codes are designed with tamper resistance and verification mechanisms to ensure authenticity.
Customers are limited to a single payment failure before their account is placed on hold. To remove the hold, the customer must resolve the underlying issue.
To the maximum extent permitted by law, Lytz disclaims all warranties and limits liability for any direct, indirect, incidental, consequential, or special damages arising from:
Platform outages;
Payment failures;
Data breaches or security incidents; or
Regulatory fines incurred due to your activity.
Lytz’s total liability shall not exceed fees paid by the business to Lytz in the preceding six (6) months.

  1. Indemnification
You agree to indemnify, defend, and hold harmless Lytz and its affiliates from any claims, damages, losses, or expenses arising from:
  • Your use or misuse of the Platform;
  • Your violation of these Terms or applicable law;
  • Disputes with your customers, financial institutions, or third parties.
Lytz is indemnified against any actions that are outside its direct control.
  1. Termination
Lytz may suspend or terminate access to the Platform for any reason, including but not limited to violations of these Terms, failure to pay fees, or suspected fraud.
Upon termination, Lytz retains ownership of all transaction data associated with the terminated account, in accordance with applicable laws and data retention policies.
  1. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Colorado, without regard to conflicts of law principles. Any disputes shall be resolved through mandatory binding arbitration in Colorado under the rules of the American Arbitration Association.Class action waivers apply, meaning all disputes must be brought in an individual capacity.
  1. Updates to Terms
Lytz may update these Terms from time to time. Updated Terms will be posted on the Platform and take effect 30 days after posting. Continued use of the Platform constitutes acceptance of revised Terms.
